4. Payment Terms

Pricing and Payment

• One-time projects: 50% deposit required before work begins, remainder due upon completion
• Monthly services: Billed monthly in advance
• Custom projects: Payment terms as agreed in the service agreement

Refund Policy

Refunds are considered on a case-by-case basis. For monthly services, you may cancel at any time but no refunds will be provided for the current billing period. For one-time projects, refunds may be available if work has not yet commenced.

Late Payments

Late payments may result in suspension of services and may incur additional fees. We reserve the right to charge interest on overdue amounts at a rate of 1.5% per month.

5. Intellectual Property

Ownership of Deliverables

Upon full payment, you own all custom code, configurations, and deliverables created specifically for your project. This includes full source code access and the right to modify and distribute the work as you see fit.

Orbixtech Property

We retain ownership of our proprietary methodologies, tools, frameworks, and any pre-existing intellectual property. You receive a license to use these in connection with the delivered services.

Third-Party Components

Our solutions may incorporate third-party software or services. Your use of such components is subject to their respective licenses and terms.

6. Service Level and Support

We strive to deliver high-quality services but do not guarantee uninterrupted or error-free performance. Our service commitments include:

• 14-day delivery guarantee for standard automation projects
• 30-day post-delivery support for bug fixes and minor adjustments
• Documentation and handoff training included with all projects
• Response time targets as specified in service agreements

7. User Responsibilities and Prohibited Uses

You agree not to use our services to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Transmit spam, malware, or other harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use our services for any illegal or fraudulent purposes
• Reverse engineer or attempt to extract our proprietary methodologies

8. Data Protection and Confidentiality

We take data protection seriously and maintain strict confidentiality regarding your business information. We agree to:

• Keep all client information confidential

• Return or delete client data upon request after project completion

9. Limitation of Liability

To the maximum extent permitted by law, Orbixtech's liability for any damages arising from or related to these terms or our services is limited to the amount paid by you for the specific service that gave rise to the claim.

We are not liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business opportunities.

10. Indemnification

You agree to indemnify and hold harmless Orbixtech from any claims, damages, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.

11. Termination

Either party may terminate services with written notice. Upon termination:

• You remain responsible for payment of all charges incurred
• We will provide final deliverables for completed work
• Confidentiality obligations survive termination
• You retain ownership of all paid-for deliverables

12. Governing Law and Dispute Resolution

These terms are governed by the laws of England and Wales. Any disputes will be resolved through binding arbitration in London, England, except that either party may seek injunctive relief in any court of competent jurisdiction.

13. Modifications to Terms

We may modify these terms at any time by posting updated terms on our website. Continued use of our services after such changes constitutes acceptance of the new terms. Material changes will be communicated with reasonable advance notice.

14. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
